Terms of Service

These terms are an agreement between you and Strategic Minds Group Limited(trading as “Offload”, “we”, “us”) governing your use of the Offload apps and website at offloadto.com (together, the “Service”). By creating an account or using the Service you agree to these terms.

1. About the Service

Offload turns voice recordings into organised tasks. You record a voice note (or type an entry), Offload transcribes it and splits it into categorised tasks, and workspace owners can send those tasks to the to-do lists of people they have invited — family members, partners, or teammates. The Service includes the Offload iOS app and the Offload web app.

2. Eligibility

You must be at least 18 years old to create an Offload account and own a workspace. People you invite to your workspace may be younger, provided you have the authority to invite them and, for anyone under 18, the consent of their parent or guardian. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

3. Accounts and Workspaces

You are responsible for keeping your account credentials confidential, and for everything that happens under your account. Workspace owners control who joins their workspace via invite links, what context is provided to improve task sorting, and which tasks are sent to which members. Workspace owners are responsible for ensuring they have an appropriate basis for inviting members and sending them tasks.

4. Your Right to Use the Service

We grant you a limited, non-exclusive, non-transferable right to use the Service for personal or internal business purposes. You must not:

  • copy, modify, or create derivative works of the Service;
  • reverse-engineer or attempt to extract source code;
  • scrape the Service or access it with automated tools;
  • probe, scan, or test the Service for vulnerabilities without our written permission;
  • use the Service in any unlawful way.

5. Your Content

You own the content you put into Offload — your voice recordings, transcripts, tasks, and workspace context. You grant us a licence to host and process that content solely to provide the Service. This includes sending audio recordings and workspace context to our AI provider (Anthropic’s Claude API) to produce transcriptions and task categorisations. Your content is not used to train AI models.

6. Acceptable Use

You must not use the Service to:

  • store or share unlawful, harmful, or infringing content;
  • record other people without their knowledge or consent where consent is required;
  • upload malware or content designed to disrupt the Service;
  • send abusive or harassing tasks or messages to workspace members.

7. Pricing

Offload is currently free to use while in early access. We may introduce paid plans in the future; if we do, we will give you clear notice before anything you use becomes chargeable, and you will never be charged without explicitly signing up to a paid plan.

8. Cancellation, Suspension, and Termination

You can stop using the Service and delete your account at any time by contacting us. We may suspend or terminate access if you materially breach these terms, if we are required to by law, or if your use poses a security risk to the Service or other users. We may also discontinue the Service; if we do, we will give you reasonable notice so you can export what you need.

9. Third-Party Services

The Service works with third-party platforms — for example the Apple App Store, Siri, push notifications, and the Action button. Those are governed by the relevant third party’s terms, and we are not responsible for their availability.

10. Service Availability

We work to keep Offload reliable, but the Service is provided without a guaranteed uptime or service level agreement.

11. Intellectual Property

All intellectual property in the Service itself — the apps, design, brand, and code — belongs to Strategic Minds Group Limited. If you send us feedback or suggestions, we may use them without obligation to you.

12. Disclaimers

The Service is provided “as is”. Transcription and task categorisation are performed by AI and may be inaccurate or incomplete — always review tasks before relying on them, especially for anything important like appointments, medication, or financial commitments.

13. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential losses arising from your use of the Service. Our total aggregate liability is capped at the greater of £100 or the amounts you paid us in the 12 months before the claim. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot be excluded by law.

14. Changes to These Terms

We may update these terms from time to time. If we make material changes we will let you know — for example by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

15. Governing Law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.

16. General

If any provision of these terms is found invalid, the remaining provisions remain in force. These terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Service.
